Terms & Conditions

The following Conditions of sale shall govern this transaction except as otherwise specifically stated in writing by the seller.

1. Damage to customer's materials owing to fire, flood, act of God or any other cause

Whilst every care and consideration is given for the safety of goods entrusted with this company it must be pointed out that no responsibility can be undertaken for the above type of loss of damage and suitable insurance should be taken out for any such contingency.

2. Quotations

Quotations are subject to confirmation on receipt of order. Work done at Customer’s request but not quoted or estimated will be priced and invoiced in accordance of the Seller’s normal costing procedure.

3. Terms

(a) The risk in the goods passed to the buyer upon delivery but equitable and beneficial ownership shall remain with us until full payment has been received (each order being considered as a whole), or until prior re-sale, in which case our beneficial entitlement shall attach to the proceeds.
(b) Should the goods become constituents of or be converted into other products while subject to our equitable and beneficial ownership shall have the equitable and beneficial ownership in such other products as if they were solely and simply the goods and accordingly sub-clause (a) shall as far as appropriate apply to such other products.
(c) Net cash within one month following invoice. This condition forms the basis of our quotations and standard charges, and it is essential to all our transactions unless specifically varied in writing by the seller.

4. Proofs and samples

Proofs and samples prepared at the Customers request will be charged for at the current minimum charge unless this is exceeded by the time and materials involved.

5. Claims

Complaints or claim will only be entertained if lodged by the Buyer within seven days of receipt of goods by him, or if related to the transport of the goods within such times as will enable the Seller to comply with the time limit and procedure of the railway companies and other carriers by whom the goods were transported. The return of goods will not be accepted unless the Seller or his representative shall first have had the opportunity of examining them. Complaints or claims will also only be entertained if the goods in question have not been further processed, so that the Seller can have the opportunity of reprocessing the original sheets if necessary.

6. Delivery

(a) Work shall become invoiceable upon completion and if goods have to be held for an abnormal length of time pending delivery instructions the Seller reserves the right to charge for storage and additional handling.
(b) Unless otherwise agreed our prices included for other collections or delivery of the goods (i.e. one journey) within normal daily van radius of our factory. Multiple or long distance deliveries by carriers and any special packing required will be charged as an extra.
(c) Whilst every effort is made to effect deliveries in accordance with pre-arranged dates no guarantee is implied and we cannot accept liability for loss or damage consequent upon delay in delivery for whatever reason.

7. Waiting time

If for any reason outside out control we are compelled to keep a machine made ready and standing in order to meet a Customer’s requirements we reserve the right to charge appropriate waiting time. SPD Design and Print Trading Terms & Conditions

8. Quantities

Unless we receive specific instructions on the contrary all work received will be processed and charged for. Although every care is taken some losses normally occur due to spoilage during processing and a reasonable allowance should be made for this it is recommended that additional overs for set up are accounted for.

9. Variation in quantity

Every endeavour will be made to deliver the correct quantity ordered but quotations are conditional upon a margin of 5 percent (in colour work 10 per cent) being allowed for overs or shortage, the same to be charged for or deducted.

10. Force majeure

The performance of all contract is subject to variations of cancellation by the Seller owing to any Act of God, War, Strikes, Lock outs, Fire, Flood, Drought, Tempest or any other cause beyond the control of the Seller owing to the inability by the Seller to procure materials or articles required for the performance or the contract and the Seller shall not be held responsible for any inability to delivery cause by such contingency.

11. Limitations of seller's liability

Any express or implied statement, condition or warranty, statutory or otherwise not stated herein is hereby excluded and deemed to be inconsistent herewith and no responsibility is accepted by the Seller for any damage or loss arising directly or indirectly out of goods supplied or for any failure of the goods to comply with the specification. Work for processing must be accompanied by a written order and artwork or a ruled-up sheet.

12. Liability

SPD Design and Print shall not be liable for indirect or consequential loss or for any loss to the customer arising from third party claims occasioned by errors in carrying out work or by delay in delivery.

13. Consequential loss

No warranty is to be implied as to the merchandise quality of goods ordered or as to their suitability for any propose whether known to the Seller or not and no responsibility is accepted by the Seller for any consequential damage or loss arising directly or indirectly out of goods supplied or by reason of failure of the goods to comply with the specification.

14. Customer's property and property supplied

(a) Customer’s property and all property supplied to SPD Design and Print by or on behalf of the Customer will be held at Customer’s risk.
(b) Every care will be taken to secure the best results where materials or equipment are supplied by customers, but responsibility will not be accepted for (imperfect work caused by defects in or unsuitability of such materials or equipment).
(c) Where the Customer supplies materials adequate quantities shall be supplied to cover spoilage.

15. Illegal matters

(a) SPD Design and Print shall not be required to print any matter which in his opinion is or may be of an illegal or libellous nature.
(b) SPD Design and Print shall be indemnified by the Customer in respect of any claims, costs and expenses arising out of any illegal or libellous matter bound for the customer or any infringement of copyright, patent or design.
